Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel to provide legal representation for financial institutions and corporate trust clients in a variety of complex transactions. This role involves handling structured finance, municipal debt, and corporate debt transactions, drafting and negotiating key agreements, and managing multiple deals with minimal oversight. Duties

  • Advise financial institutions and corporate trust clients on structured finance, municipal debt, and corporate debt transactions.
  • Draft, review, and negotiate various transactional agreements, including trust indentures, loan agreements, custodial and agency agreements, servicing contracts, and non-disclosure agreements.
  • Ensure compliance with financial and regulatory requirements in all transaction-related documentation.
  • Provide strategic legal counsel to clients regarding financial transactions and restructuring matters.
  • Manage multiple transactions simultaneously while maintaining attention to detail and accuracy.
  • Supervise and mentor junior attorneys and legal professionals.
  • Collaborate with colleagues in a team-oriented environment to deliver high-quality legal services.

Requirements

  • At least seven years of experience in finance and restructuring transactions.
  • Proven ability to handle complex structured finance, corporate trust, or financial services matters.
  • Strong background in negotiating and drafting transactional agreements.
  • Excellent legal research, analytical, and client management skills.
  • Ability to manage multiple projects with minimal supervision.
  • Experience leading and mentoring legal professionals.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active law license in at least one U.S. jurisdiction.

Skills

  • Expertise in finance and restructuring law.
  • Strong contract negotiation and drafting skills.
