A law firm in Houston is seeking a highly experienced Healthcare Transactional Counsel to join its team. The ideal candidate will have extensive experience in healthcare transactional work, with a particular focus on private equity transactions. The firm is looking for an individual who can continue to build a practice around healthcare transactions while collaborating with cross-disciplinary teams. Prior experience in a sophisticated law firm and a background in healthcare law are highly preferred. Strong academic credentials and excellent writing skills are essential for success in this role.

Duties and Responsibilities:

  • Lead and manage healthcare transactional matters, including mergers, acquisitions, joint ventures, and private equity transactions.
  • Draft, review, and negotiate complex transactional documents such as purchase agreements, shareholder agreements, and partnership agreements.
  • Advise clients on regulatory and compliance issues related to healthcare transactions, including Stark Law, Anti-Kickback Statute, and HIPAA.
  • Work closely with private equity clients on investment strategies in the healthcare sector.
  • Conduct due diligence in connection with healthcare transactions, identifying potential risks and legal issues.
  • Provide counsel to healthcare providers, health systems, and investors regarding corporate governance and transactional matters.
  • Collaborate with multidisciplinary teams, including corporate, tax, and regulatory attorneys, to support healthcare clients.
  • Stay up-to-date on developments in healthcare regulations and transactional trends to provide proactive legal advice.
  • Mentor junior associates and contribute to their professional development.

Requirements:

  • Minimum of 7+ years of transactional experience, with a focus on healthcare and private equity transactions.
  • Prior experience working in a sophisticated law firm environment is highly preferred.
  • Solid experience in healthcare law, particularly in regulatory and compliance issues related to transactions.
  • Proven ability to handle complex transactional matters independently and collaboratively.
  • Strong understanding of healthcare regulations, including Stark Law, Anti-Kickback Statute, and HIPAA.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials are required.

Certifications:

  • Admission to the Texas Bar or eligibility to waive into the Texas Bar is required.
