A law firm seeks a highly skilled and experienced Mergers & Acquisitions (M&A) Resource Attorney to provide essential support to its transactional practice group. This role will focus on enhancing the efficiency and effectiveness of attorneys by managing key resources, developing documents, and staying abreast of legal developments in the M&A field. The ideal candidate will bring at least 7 years of experience in corporate and transactional law, with a keen eye for detail and strong organizational capabilities.

Duties:

  • Transaction Database Management: Input deal terms from executed transactions into the firm's Transaction Database; work with the knowledge management team to ensure accuracy and consistency.
  • Form and Precedent Drafting/Management: Draft new template documents and revise existing precedents; curate and manage the M&A group’s forms and other resources.
  • Legal Updates: Monitor legal and regulatory changes related to M&A, preparing summaries and alerts; ensure new requirements are integrated into practice materials.
  • Legal Education: Collaborate with the legal education team to develop content for training programs related to M&A.
  • Marketing/Business Development: Assist the M&A marketing team with content creation for blogs, pitches, and presentations.
  • Attorney Support: Address day-to-day requests from attorneys for precedents, templates, and other legal resources.
  • New Initiatives: Participate in knowledge management and practice innovation projects, as needed.
  • Other Duties: Perform additional responsibilities as required by the firm.

Requirements:

  • At least 7 years of experience in M&A or corporate transactional law, preferably with experience in both public and private M&A transactions.
  • Strong drafting, organizational, and project management skills.
  • Demonstrated ability to work independently and collaboratively on various projects.
  • Experience in corporate governance, board fiduciary duties, and market trends is a plus.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active Bar membership in a U.S. jurisdiction.

Certifications:

  • Licensed attorney with at least 7 years of relevant experience.

Skills:

  • Exceptional attention to detail, particularly in drafting and document management.
  • Strong organizational skills, capable of managing multiple projects with diverse stakeholders.
  • Flexibility and adaptability to evolving resource and knowledge management needs.
