Job Overview:

A prestigious law firm is seeking a highly qualified Mid-Level Associate to join its Corporate Finance and Securities team in New York. Location:

Duties:

  • Advise clients on capital markets transactions, including public and private offerings, debt, and equity securities.
  • Handle securities law compliance, including disclosure requirements and reporting obligations.
  • Draft and negotiate securities offering documents, including prospectuses, private placement memoranda, and registration statements.
  • Represent clients in SEC filings, such as 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Assist clients with corporate governance matters, including board meetings and shareholder matters.
  • Work closely with senior attorneys on large and complex transactions, providing support across all stages.
  • Manage client relationships and ensure that legal strategies align with client objectives.
  • Stay updated on developments in securities laws and regulations to provide timely and accurate counsel.

Requirements:

  • 3 years of experience in capital markets and securities law.
  • Prior experience at a top-tier law firm, preferably with a focus on corporate finance.
  • Strong understanding of securities regulations and capital markets structures.
  • Ability to work effectively in a team environment, as well as independently.
  • Strong attention to detail and ability to manage multiple tasks.
  • Excellent written and verbal communication skills.
  • Strong organizational and client management skills.

Education:

  • J.D. from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Active bar membership in the state of New York.

Skills:

  • Expertise in capital markets and securities law.
  • Knowledge of SEC regulations and securities offerings.
  • Drafting and negotiating skills for offering documents and corporate governance materials.
  • Legal research and analytical skills.
  • Strong interpersonal skills for client interaction and teamwork.
  • Ability to manage complex transactions and client relationships.
