Job Overview:

A law firm in New York City, NY, is seeking a Mid-level Tax Associate Attorney to join their team. The successful candidate will work closely with experienced lawyers who provide active mentoring and opportunities for increased responsibility and client contact. This role is ideal for someone with 3-5 years of experience in transactional tax matters, particularly those with experience in private equity transactions. An LL.M. in Taxation is strongly preferred.

Duties:

  • Draft, review, and negotiate tax provisions in merger agreements, stock purchase agreements, asset purchase agreements, and related agreements.
  • Draft and review partnership, joint venture, and limited liability company agreements.
  • Handle the tax aspects of equity and debt financing transactions.
  • Collaborate with a team of attorneys to deliver high-quality legal services.
  • Assume increasing levels of responsibility and direct client contact.

Requirements:

  • 3-5 years of experience in transactional tax matters.
  • Experience with private equity transactions is preferred.
  • Strong academic credentials.
  • Excellent communication skills.
  • Ability to work independently and as part of a team.
  • Commitment to providing the highest quality client service.

Education:

  • Juris Doctor (JD) degree.
  • LL.M. in Taxation strongly preferred.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Expertise in drafting, reviewing, and negotiating complex tax provisions.
  • Proficient in drafting and reviewing partnership, joint venture, and limited liability company agreements.
  • Knowledge of tax aspects of equity and debt financing transactions.
  • Strong analytical and problem-solving skills.
