Job Overview: A law firm seeks a highly skilled Finance & Restructuring Counsel with at least seven years of experience to represent financial institutions and corporate trust clients. This role involves managing complex corporate trust transactions, including structured finance, municipal debt, and corporate debt issuances. The ideal candidate will have extensive experience drafting and negotiating various transactional agreements and the ability to work autonomously while mentoring junior attorneys. This is a hybrid position available in multiple office locations, offering flexibility and a collaborative work environment.

Duties:

  • Represent financial institutions and corporate trust clients in a variety of corporate trust transactions, such as structured finance, municipal debt, and corporate debt issuances.
  • Draft, review, and negotiate various transactional agreements, including trust indentures, loan agreements, custodial agreements, SaaS contracts, software licenses, and third-party vendor agreements.
  • Manage multiple transactions and assignments simultaneously with minimal supervision.
  • Provide legal counsel on complex finance and restructuring matters, ensuring compliance with relevant laws and regulations.
  • Collaborate with other attorneys, paralegals, and legal staff, fostering a team-oriented environment.
  • Supervise and mentor junior lawyers and paralegals, helping to guide their professional development.

Requirements:

  • At least 7 years of transactional experience in corporate trust, structured finance, municipal debt, and corporate debt matters.
  • Proven ability to draft and negotiate a wide range of transactional agreements.
  • Strong time-management skills, with the ability to handle multiple assignments and deadlines independently.
  • Excellent writing, reviewing, and negotiation abilities.
  • Ability to lead and mentor junior legal staff.
  • Strong client service skills, with a focus on building and maintaining client relationships.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in at least one U.S. jurisdiction is required.
