A law firm is currently seeking a Mid-level Capital Markets Associate Attorney for its Minneapolis location. The ideal candidate should have 2+ years of experience with a broad range of transactional expertise across both public and private equity and debt securities offerings. The candidate should be experienced in representing issuer, investor, and underwriter clients, with additional requirements for expertise in Exchange Act reporting and corporate governance compliance. The candidate should possess excellent drafting and negotiation skills and be comfortable assuming a lead role in managing the execution of transactions. The Mid-level Capital Markets Associate Attorney will play a crucial role in the firm's transactional practice, focusing on both public and private equity and debt securities offerings. The role requires 2+ years of experience with a sophisticated large or mid-sized law firm, and expertise in Exchange Act reporting and corporate governance compliance. The candidate should be adept at assuming a lead role in managing transaction executions.

 

Duties:

  • Handle a broad range of transactional matters related to public and private equity and debt securities offerings.
  • Represent issuer, investor, and underwriter clients in various transactions.
  • Ensure compliance with Exchange Act reporting requirements.
  • Provide expertise in corporate governance compliance matters.
  • Assume a lead role in managing the execution of transactions.
  • Draft and negotiate transactional documents with precision.
  • Collaborate with clients to understand their transactional goals.

 

Requirements:

  • Juris Doctor degree from a reputable law school.
  • Active Bar membership in the state of Minnesota.
  • 2+ years of experience with a sophisticated large or mid-sized law firm.
  • Transactional experience in both public and private equity and debt securities offerings.
  • Experience with Exchange Act reporting.
  • Expertise in corporate governance compliance.
  • Excellent drafting and negotiation skills.
