A law firm is seeking a Real Estate Associate Attorney to join their San Francisco office. The ideal candidate will have 4-6 years of experience in real estate law with a focus on real estate financing, lender representation, co-lender/intercreditor matters, and commercial mortgage-backed securities (CMBS). Excellent academic credentials and strong verbal, writing, and interpersonal skills are essential.

Duties and Responsibilities:

  • Represent clients in real estate financing transactions, including structuring and negotiating loan agreements.
  • Provide legal counsel on lender representation, including drafting and reviewing loan documents and advising on regulatory compliance.
  • Handle co-lender and intercreditor agreements, including negotiation and documentation of terms.
  • Work with commercial mortgage-backed securities (CMBS), including transaction structuring and compliance with related regulations.
  • Draft, review, and negotiate commercial real estate contracts, including purchase agreements, leases, and development agreements.
  • Conduct legal due diligence and analysis related to real estate transactions and financing.
  • Manage real estate transactions from inception through closing, ensuring all legal aspects are addressed.
  • Advise clients on real estate regulatory issues and compliance requirements.
  • Collaborate with colleagues, clients, and external parties, such as lenders, brokers, and government agencies.
  • Stay current with changes in real estate law and industry trends.

Requirements:

  • 4-6 years of experience in real estate law, with a focus on real estate financing, lender representation, co-lender/intercreditor matters, and CMBS.
  • Excellent academic credentials with a strong record of achievement.
  • Strong verbal and written communication skills.
  • Proven interpersonal skills with the ability to work effectively with clients and colleagues.
  • Experience in negotiating and drafting complex real estate and financing documents.
  • Ability to manage multiple transactions and meet deadlines.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to the Bar and in good standing in California.

Skills:

  • Expertise in real estate financing, lender representation, and CMBS.
  • Strong analytical and legal research abilities.
  • Excellent drafting, negotiation, and communication skills.
