Job Overview: A well-established law firm is seeking a Transactions Associate with 2-5 years of corporate law experience to join their Transactions Practice Group. This role will focus on supporting a range of transactions, including venture capital financing, mergers and acquisitions (M&A), private equity, and general corporate counseling. This opportunity offers a dynamic environment conducive to professional growth, character development, and collaborative work.

Location:

  • Palo Alto, CA

Duties:

  • Assist with a variety of transactions, including emerging companies & venture capital (ECVC) financing, M&A, and private equity.
  • Provide corporate counseling for public and private companies, private equity funds, investors, and entrepreneurs.
  • Engage in drafting and reviewing complex legal documents and managing transaction processes.
  • Support clients in mergers, acquisitions, dispositions, joint ventures, and other commercial transactions.
  • Maintain direct interaction with clients and partners to strengthen client relationships.

Requirements:

  • 2-5 years of corporate law experience, with a focus on venture capital, early-stage financings, mergers, acquisitions, and related transactions.
  • Proficiency in sophisticated document drafting and transaction management.
  • Exceptional interpersonal, writing, and communication skills.
  • A strong work ethic, positive attitude, and capacity to work in a collaborative team environment.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Active Bar membership in the relevant jurisdiction(s) or eligibility for timely admission based on office location.

Skills:

  • Strong expertise in corporate and transactional law, including venture capital and M&A.
  • Advanced drafting and project management abilities.
  • Excellent communication skills for client-facing interactions.
  • Commitment to a collaborative work environment and professional development.
