Job Overview: A prestigious law firm is seeking a skilled Public Finance Associate with 3 to 7 years of experience to join their Denver office. This position offers the opportunity to work on public finance matters, including municipal bonds, commercial loans, public infrastructure projects, and public-private partnerships. The ideal candidate will have experience in drafting transaction documents, securities disclosure, and working with state and local government entities and nonprofits. This hybrid role offers the chance to make a significant impact while working on complex and diverse public finance transactions.

Location:

Duties:

  • Draft transaction documents, including official statements, trust indentures, resolutions, loan agreements, closing certificates, and third-party consents.
  • Assist in reviewing due diligence materials and draft securities disclosure offering documents, such as limited offering memorandums and official statements.
  • Work on matters related to municipal bonds, notes, tax-exempt or taxable commercial loans, and public-private partnerships for infrastructure and other capital improvement projects.
  • Collaborate with state and local governmental entities and nonprofit organizations on various public finance projects.

Requirements:

  • 3-7 years of relevant experience in public finance and/or real estate finance.
  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Colorado Bar (or eligibility to waive in with a UBE score).
  • Excellent academic credentials.
  • Strong legal research, writing, and interpersonal communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the Colorado Bar (or eligibility to waive in with a UBE score).

Skills:

  • Experience with drafting public finance transaction documents (e.g., official statements, trust indentures, loan agreements).
  • Proficiency in securities disclosure offering documents and limited offering memorandums.
  • Strong legal research and writing skills.
  • Excellent interpersonal and communication skills, with the ability to work effectively with clients and team members.
  • Knowledge of municipal bonds, tax-exempt and taxable loans, public infrastructure projects, and public-private partnerships.
