A law firm is seeking a Mid-Level Mergers and Acquisitions Associate Attorney for its Palo Alto office.

 

Job Overview:

  • Take a lead role in advising clients on acquisitions, divestitures, mergers, joint ventures, and private equity transactions.
  • Manage due diligence processes and draft ancillary agreements to facilitate seamless transaction execution.
  • Contribute to all aspects of transactions, from initial negotiations to post-closing matters.

 

Duties:

  • Conduct due diligence investigations and analyze findings to identify potential risks and opportunities.
  • Draft and negotiate transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Provide legal counsel to clients on deal structuring, regulatory compliance, and corporate governance matters.
  • Collaborate with cross-functional teams, including tax, finance, and regulatory experts, to ensure comprehensive transactional support.

 

Requirements:

  • 2-4 years of experience in mergers and acquisitions transactions at a reputable law firm or in-house legal department.
  • Admitted to the California Bar.
  • Strong academic credentials, including a Juris Doctor (JD) degree from an accredited law school.
  • Demonstrated expertise in leading due diligence processes and drafting transactional documents.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team in a fast-paced, deadline-driven environment.

 

Certifications:

Admission to the California Bar.

 

Skills:

  • Proficiency in legal research tools and databases.
  • Attention to detail and accuracy in document review and drafting.
  • Strong analytical and problem-solving abilities.
