Job Duties:

  • Represent public companies in mergers and acquisitions transactions on the sell and buy sides.
  • Provide strategic legal advice on complex M&A transactions, including structuring, negotiating, and executing deals.
  • Advise clients on related securities laws and regulatory compliance.
  • Draft and review transaction documents, including purchase agreements, proxy statements, and related filings.
  • Conduct due diligence and coordinate with various stakeholders, including clients, opposing counsel, and regulatory authorities.
  • Manage all aspects of M&A transactions from inception to closing.
  • Collaborate with other attorneys within the firm to provide comprehensive legal services to clients.
  • Maintain up-to-date knowledge of industry trends and legal developments in mergers and acquisitions.

Requirements:

  • 3-6 years of general mergers and acquisitions and transactional experience.
  • Specific focus on mergers and acquisitions transactions involving public companies.
  • Experience with both sell-side and buy-side transactions.
  • Knowledge of related securities laws and regulatory requirements.
  • Proven track record of managing complex M&A transactions.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Outstanding academic credentials.

Certifications:

  • Relevant California Bar admission (or eligibility to obtain admission promptly).
