Job Overview: A law firm in Los Angeles is seeking a motivated Corporate Associate Attorney to join our dynamic team. The ideal candidate will have 1-3 years of experience in corporate transactions, with a focus on mergers and acquisitions, financings, joint ventures, technology transactions, and providing "outside GC" services. This role requires strong drafting and reviewing skills, along with exceptional academic credentials and interpersonal abilities.

Duties:

  • Assist in negotiating and drafting corporate transactional documents, including merger agreements, stock and asset purchase agreements, and financing documents.
  • Conduct due diligence and prepare related reports.
  • Counsel clients on general corporate matters and provide strategic advice.
  • Collaborate with partners and senior associates on complex transactions.
  • Handle various aspects of technology transactions, including licensing and IP issues.

Requirements:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the California State Bar (or eligibility for admission via waiver or reciprocity).
  • 1-3 years of experience in corporate law practice, preferably in a law firm setting.
  • Strong background in general corporate transactional work, including mergers and acquisitions, financings, and joint ventures.
  • Experience in technology transactions and providing "outside GC" services is a plus.
  • Excellent analytical, drafting, and communication skills.
