Job Overview:
A prominent law firm is seeking a dynamic and experienced Mid-Level Associate Attorney to join its Corporate Mergers and Acquisitions (M&A) practice in the Chicago office. This role offers the opportunity to engage in sophisticated corporate transactions, including mergers and acquisitions, private equity, and venture capital matters. The ideal candidate will have a proven track record of handling complex deals, drafting and negotiating key agreements, and managing client relationships.

Duties:

  • Represent both public and private clients in M&A, private equity, venture capital, and general corporate transactions.
  • Lead and contribute to the drafting and negotiation of complex transactional documents, including acquisition agreements, equity agreements, and investment documents.
  • Serve as a key member of deal teams, managing the production of client-ready documents and direct communication with clients.
  • Oversee key aspects of transactions, managing associates and collaborating with subject matter experts.
  • Take ownership of assigned transactions, ensuring they progress efficiently and align with client objectives.
  • Provide strategic and practical legal advice in high-stakes corporate matters.
  • Ensure adherence to deadlines and the smooth execution of transactions in a fast-paced environment.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in the State Bar of Illinois or eligibility for admission via reciprocity.
  • 3-6 years of experience as a transactional associate, specifically in M&A and private equity.
  • Strong skills in drafting, negotiation, and analysis, with acute attention to detail.
  • Ability to effectively manage multiple priorities and thrive in a dynamic, high-pressure environment.
  • Proven ability to take initiative and manage complex transactions with minimal oversight.

Education:

  • J.D. degree from an accredited law school.

Certifications:

  • Active Bar membership in good standing in the State of Illinois or eligibility for reciprocity.

Skills:

  • Expertise in mergers and acquisitions, private equity, and corporate law.
  • Proficiency in legal drafting and negotiations.
