The successful candidate will have 4-6 years of experience in corporate finance, particularly with financial institutions and borrowers involved in commercial finance transactions. This role requires expertise in drafting loan, security, and intercreditor documents, advising on covenant compliance, and leading due diligence teams. The candidate must possess excellent writing skills, demonstrate superior academic achievements, and effectively manage multiple assignments with minimal supervision.

Duties and Responsibilities

  • Draft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.
  • Provide legal counsel on covenant compliance, ensuring adherence to financial agreements and regulatory requirements.
  • Lead and manage due diligence teams, coordinating efforts and ensuring thorough reviews of financial documents.
  • Oversee the work of specialists involved in transaction processes, including financial analysts and legal assistants.
  • Collaborate with clients, financial institutions, and other stakeholders to ensure successful execution of transactions.
  • Maintain high standards of document accuracy and legal compliance.
  • Manage multiple projects simultaneously, delivering high-quality results with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate financings.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Proven experience in drafting loan, security, and intercreditor documents and advising on covenant compliance.
  • Excellent academic credentials, including a JD from an accredited law school.
  • Superior writing skills and attention to detail.
  • Ability to manage multiple assignments effectively and independently.
  • Strong analytical and problem-solving abilities.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field is preferred.

Certifications

  • Admission to the Indiana Bar (or eligibility to obtain admission).
  • Certification or specialization in finance or commercial transactions is preferred but not required.
