Job Overview:

A leading law firm is seeking a Finance & Restructuring Counsel to join its growing practice group. This role is designed for candidates with at least seven years of transactional experience, particularly in representing financial institutions and corporate trust clients across a variety of corporate trust transactions, such as structured finance, municipal debt, and corporate debt issuances. The successful candidate will possess strong drafting, negotiation, and analytical skills, with a focus on delivering exceptional client service.

Location:

  • San Francisco, CA

Duties:

  • Review, negotiate, and draft a wide range of transactional agreements, including but not limited to trust indentures, loan agreements, account control agreements, custodial agreements, pooling and servicing agreements, and third-party vendor agreements.
  • Represent clients in corporate trust transactions such as RMBS, CMBS, ABS, municipal debt, and corporate debt issuances.
  • Provide strategic counsel to financial institutions, corporate trust businesses, and private credit clients.
  • Manage multiple transactions and assignments with minimal supervision, ensuring high-quality work product and timely delivery.
  • Supervise and mentor junior lawyers and paralegals, while fostering a collaborative and supportive team environment.
  • Work closely with clients to deliver exceptional service and maintain strong client relationships.

Requirements:

  • Minimum of seven years of transactional experience in finance or restructuring law.
  • Proven experience drafting, reviewing, and negotiating a broad spectrum of transactional agreements, including loan agreements, trust indentures, and various servicing-related agreements.
  • Strong client relationship management skills with a focus on delivering high-quality service.
  • Ability to manage multiple projects simultaneously and prioritize effectively in a fast-paced environment.
  • Demonstrated leadership abilities, including experience managing or mentoring junior attorneys and paralegals.
  • Excellent analytical, writing, and negotiation skills.
  • Ability to work independently with minimal supervision and as part of a collaborative team.
  • Strong academic background and a track record of exceptional performance.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the bar in the jurisdiction where the candidate will be practicing.

Skills:

  • Expertise in finance and restructuring transactional law, particularly in corporate trust transactions.
  • Strong drafting and negotiation skills across a wide range of complex legal documents.
  • Ability to manage multiple client matters efficiently while maintaining a high level of client service.
