Duties:

  • Advise clients on various aspects of private equity financing, including private credit, acquisition finance, and leveraged finance transactions.
  • Represent borrowers in negotiations and transactions, ensuring that all legal and financial aspects are comprehensively addressed.
  • Work closely with private equity sponsors to structure, document, and close complex financing deals.
  • Provide strategic legal advice to clients on structuring, negotiating, and executing private equity investments and financings.
  • Draft and review legal documents, including loan agreements, credit agreements, and related financing documents.
  • Collaborate with internal teams and external stakeholders to facilitate smooth and efficient deal processes.
  • Conduct due diligence and provide a detailed analysis of financing arrangements and potential risks.
  • Keep abreast of current legal trends and developments in private equity and finance.

Requirements:

  • Minimum of 2 years of experience in private credit, acquisition finance, or leveraged finance.
  • Proven experience representing borrowers, with a strong preference for experience working with private equity sponsors.
  • Demonstrated ability to manage complex transactions and provide strategic legal advice.
  • Strong analytical and problem-solving skills, with a keen attention to detail.
  • Excellent communication and interpersonal skills, with the ability to work effectively in a team environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in Washington, DC.

Skills:

  • Expertise in private equity finance and related legal issues.
  • Proficiency in drafting and negotiating complex financing documents.
  • Strong understanding of financial and legal aspects of private equity transactions.
