A law firm is seeking a highly skilled Energy and Infrastructure Transactions Associate Attorney to join their Houston office. The ideal candidate will have at least 3 years of experience in energy and infrastructure transactions, including project finance, tax equity transactions, and energy project development. This role involves representing sponsors, developers, investors, and financial institutions in renewable energy and energy transition finance and M&A transactions. The successful candidate will demonstrate strong analytical and problem-solving skills, effective client management, and the ability to handle complex transactions.

Duties:

  • Represent sponsors, developers, investors, financial institutions, and other market participants in renewable energy and energy transition finance and M&A transactions.
  • Handle project finance and tax equity transactions within the U.S. renewables and power sector.
  • Manage the negotiation and drafting of material project agreements, including Power Purchase Agreements (PPA), Engineering, Procurement, and Construction (EPC) contracts, and Operations & Maintenance (O&M) agreements.
  • Provide strategic legal advice and support on energy project development and financing.
  • Collaborate with clients to structure and execute complex transactions effectively.
  • Conduct thorough legal research and analysis to support transaction negotiations and documentation.
  • Maintain strong client relationships and manage client interactions with professionalism.
  • Stay updated on industry trends, legal developments, and regulatory changes affecting energy and infrastructure projects.

Requirements:

  • 3+ years of experience in energy and infrastructure transactions, including project finance, tax equity transactions, and energy project development.
  • Proven experience negotiating and drafting material project agreements (e.g., PPA, EPC, O&M).
  • Strong analytical and problem-solving skills with the ability to manage complex transactions.
  • Excellent interpersonal skills and comfort with client interaction.
  • Prior law firm experience is required.
  • Demonstrated ability to work independently and as part of a team in a fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Bar License in the relevant jurisdiction (required).

Skills:

  • Expertise in energy and infrastructure transactions, including project finance and tax equity.
  • Proficiency in negotiating and drafting key project agreements.
  • Strong analytical, problem-solving, and organizational skills.
  • Effective client management and interpersonal skills.
  • Excellent written and verbal communication abilities.

  • Prior experience in a law firm setting.
