Business Services Associate Attorney

A law firm in Cleveland, OH, is seeking a Mid-level Business Services Associate Attorney with a focus on general corporate transactional matters, including mergers, acquisitions, divestitures, entity formation, governance, joint ventures, and vendor and supply agreements. The ideal candidate should possess exceptional project management skills and the ability to prioritize a fast-paced workload. Additional experience with private placement and financing transactions is preferred. Strong drafting, research, and organizational skills are essential for success in this role.

Duties:

• Provide legal counsel and representation to clients in general corporate transactional matters.
• Handle mergers, acquisitions, divestitures, entity formation, governance, joint ventures, and vendor/supply agreements.
• Draft, review, and negotiate legal documents and agreements.
• Conduct legal research and analysis to support transactions.
• Ensure compliance with relevant laws and regulations.
• Manage and coordinate multiple projects and transactions simultaneously.
• Communicate with clients and provide legal advice.
• Collaborate with colleagues and support staff within the department.
• Pay strong attention to detail when reviewing documents.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• 5-10 years of experience in general corporate transactional matters.
• Additional experience with private placement and financing transactions is preferred.
• Strong drafting, research, and organizational skills.
