Job Overview: A law firm in Wilmington, DE, seeks a qualified and motivated Mid-Level Nonprofit and Associations Associate Attorney. The ideal candidate will have over four years of experience in a law firm environment, with a strong preference for those representing tax-exempt organizations. This role involves providing comprehensive legal services to nonprofit organizations, including matters related to governance, corporate structures, and compliance with state and federal regulations.

Essential Duties and Responsibilities:

  • Provide legal counsel and support to nonprofit and tax-exempt organizations.
  • Advise clients on governance issues, corporate structures, and compliance requirements.
  • Draft, review, and negotiate contracts and agreements relevant to nonprofit organizations.
  • Assist with developing and implementing membership programs, licensing agreements, and component/affiliate relations.
  • Guide lobbying and advocacy activities to ensure compliance with applicable laws.
  • Conduct legal research and analysis on issues affecting nonprofit organizations.
  • Represent clients in legal proceedings and before regulatory bodies as needed.
  • Collaborate with other attorneys and legal staff to provide comprehensive legal services.
  • Stay current with changes in laws and regulations affecting nonprofit organizations.

Requirements:

  • Minimum of 4+ years of legal experience in a law firm environment.
  • Demonstrated experience representing tax-exempt organizations.
  • Additional experience in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying is highly desirable.
  • Active membership in the Delaware State Bar.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admitted to practice law in the state of Delaware.

Skills:

  • Strong understanding of legal issues affecting nonprofit and tax-exempt organizations.
  • Excellent research, analytical, and problem-solving skills.
  • Proficient in drafting and negotiating legal documents.
  • Ability to provide clear and concise legal advice.
  • Strong interpersonal and communication skills.
  • Detail-oriented with the ability to manage multiple tasks and priorities.
  • Ability to work both independently and collaboratively in a team environment.
