Job Overview

A law firm is seeking a highly skilled and motivated Mid-to-Senior-Level Technology Transactions Associate Attorney to join their dynamic team in Chicago, IL. The ideal candidate will have 4-6 years of experience in handling complex commercial matters involving intellectual property (IP) and technology transactions. This role involves significant work on licensing, trade secrets protection, privacy issues, and various service agreements, along with evaluating and advising on IP and tech issues in corporate transactions.

Key Duties and Responsibilities

  • Draft, negotiate, and review various technology-related agreements including licensing, manufacturing, tolling, supply, distribution, and service agreements.
  • Provide legal counsel on the protection of intellectual property rights, including trade secrets and privacy matters.
  • Evaluate and advise on IP and technology issues arising in general corporate transactions such as mergers and acquisitions, carve-outs, spin-offs, private equity, and debt finance.
  • Conduct IP due diligence in corporate transactions to assess risks and opportunities.
  • Collaborate with cross-functional teams to address complex legal issues and provide strategic guidance.
  • Assist in the development and implementation of IP strategies and policies for clients.
  • Stay current with developments in IP law, technology transactions, and data privacy regulations.
  • Participate in client meetings, negotiations, and business development activities.

Requirements

  • Minimum of 4-6 years of experience in commercial matters involving intellectual property and technology transactions.
  • Significant experience in handling IP and tech issues in corporate transactions, including mergers and acquisitions, private equity, and debt finance.
  • Proven ability to draft, negotiate, and review complex technology-related agreements.
  • Strong understanding of trade secrets protection and privacy laws.
  • Excellent analytical and problem-solving skills.
  • Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the state of Illinois or eligible for admission on motion.

Certifications

  • Relevant certifications in intellectual property law or technology transactions are a plus.
