Job Overview:

A law firm seeks a highly skilled and experienced ECVC (Emerging Companies and Venture Capital) Associate Attorney to join its dynamic team in Boulder, CO. The ideal candidate will understand the legal intricacies of supporting emerging companies and venture capital transactions. This role demands a dedicated professional with a strong background in corporate law, excellent client management skills, and the ability to work collaboratively in a fast-paced environment.

Key Responsibilities:

  • Provide legal counsel to emerging growth companies at all stages of development, from formation through exit.
  • Draft, review, and negotiate a wide range of agreements, including, but not limited to, stock purchase agreements, equity financing documents, and convertible notes.
  • Advise clients on corporate governance issues, equity compensation plans, and compliance with applicable securities laws.
  • Lead and manage venture capital financings, including Series A, B, and later-stage investments.
  • Collaborate closely with partners and other team members on complex transactions, ensuring timely and accurate service delivery.
  • Develop and maintain strong client relationships by providing strategic advice tailored to their unique business needs.
  • Conduct due diligence for M&A transactions, advising clients on potential legal risks and structuring deals to mitigate those risks.
  • Stay current with relevant industry trends and legal developments and effectively communicate these changes to clients and team members.
  • Assist with mentoring junior associates and guiding them on complex legal issues.

Requirements:

  • 5-7 years of experience as an ECVC attorney with a strong background in corporate law.
  • Proven track record of handling venture capital transactions and advising emerging growth companies.
  • Demonstrated ability to manage multiple projects and clients simultaneously, with strong organizational skills.
  • Exceptional legal drafting and negotiation skills, with attention to detail.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and collaboratively within a team environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the Colorado State Bar (or ability to become licensed to practice in Colorado within a reasonable time frame).

Certifications:

  • Any relevant corporate or venture capital law certifications are a plus.

Skills:

  • Expertise in venture capital transactions, corporate governance, and securities law.
  • Excellent written and verbal communication skills.
  • Strong client management and interpersonal skills.
  • Ability to work effectively under pressure and meet tight deadlines.
  • Proficiency in legal research tools and Microsoft Office Suite.
