Job Overview: A law firm is seeking a Fund Formation and Investment Management Associate Attorney to join its Fund Formation and Investment Management (FFIM) Practice Group in Boston. The ideal candidate will have 2-4 years of relevant experience and a strong background in fund and management structuring, side letter negotiations, secondary sales of LP fund stakes, and GP-led fund restructurings. This position requires exceptional document drafting skills, the ability to manage complex transactions, and proficiency in working within a collaborative team environment.

Key Responsibilities:

  • Advise clients on fund formation, including structuring investment funds and management entities.
  • Handle negotiations of side letters for private investment funds.
  • Facilitate secondary sales of limited partner fund stakes, representing both buy-side and sell-side clients.
  • Advise on and execute GP-led fund restructurings, working closely with clients and internal teams.
  • Provide guidance on Investment Advisers Act registration and ongoing compliance matters.
  • Offer legal advice on the Securities Act as it relates to private investment funds.
  • Draft, review, and negotiate complex legal documents related to fund formation and investment management.
  • Collaborate with teams of attorneys and paralegals on large, multi-faceted transactions and projects.
  • Maintain close communication with senior associates, partners, and clients, providing legal support and strategic guidance.
  • Manage client relationships effectively, ensuring timely and proactive legal services.
  • Navigate and handle multiple, concurrent projects in a fast-paced, high-pressure environment.

Qualifications:

  • Experience: 2-4 years of experience in fund formation and investment management, including:
    • Fund and management structuring
    • Side letter negotiations
    • Secondary sales of LP fund stakes (buy-side and sell-side)
    • GP-led fund restructurings
    • Investment Advisers Act registration and compliance
    • Securities Act knowledge in relation to private investment funds
  • Education: Juris Doctor (JD) from an ABA-accredited law school.
  • Bar Membership: Must be in good standing and an active member of the Bar in the jurisdiction(s) where admitted to practice.

Skills and Competencies:

  • Strong document drafting skills with an ability to create clear, concise, and legally sound documents.
  • Ability to manage and navigate complex projects involving multiple stakeholders, attorneys, and paralegals.
  • Proficient knowledge of the Investment Advisers Act and Securities Act as they pertain to private investment funds.
  • Strong interpersonal and communication skills, with the ability to work collaboratively and engage with clients directly.
  • Ability to handle a high volume of work in a fast-paced, team-oriented environment.
  • Positive, proactive attitude with a strong work ethic and commitment to high-quality legal service.
