The ideal candidate will engage with a diverse clientele, from large multinational corporations to emerging companies, ensuring compliance and providing strategic guidance in a dynamic legal landscape.

Duties:

  • Counsel clients on a range of equity compensation and employment issues, including stock options (SO), restricted stock units (RSU), and employee stock purchase plans (ESPP).
  • Oversee compliance with securities and foreign exchange filings related to SO, RSU, and ESPP programs.
  • Manage matters involving leaves of absence, accommodations, return-to-office protocols, independent contractor classifications, and employment agreements.
  • Prepare multi-country analyses and draft employment-related documents.
  • Conduct multijurisdictional research and collaborate with global teams to deliver comprehensive analysis to clients.
  • Work on employment agreements, handbooks, bonus plans, and due diligence for global M&A transactions, particularly in the fast-growth and technology sectors.

Requirements:

  • 3-5 years of experience in employee equity compensation or employment counseling, with a preference for cross-border experience.
  • Strong academic credentials and exceptional verbal, written, and interpersonal skills.
  • Admission to the Washington State Bar is mandatory.
  • Direct experience with duties outlined in this posting is highly valued.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • An active member of the Washington State Bar Association.
