Job Overview: A prominent law firm is seeking an experienced Emerging Companies and Venture Capital (ECVC) Associate to join their practice in either San Francisco or New York. The role involves leading transactions for both company-side and investor-side clients in fast-growing industries. The ideal candidate will have 4-6 years of relevant experience and will work closely with founders, CEOs, management teams, and boards of directors on the company-side, as well as with investment partners and general counsel on the investor-side.

Location:

  • San Francisco, CA

Duties:

  • Lead transactions for emerging companies and institutional investors
  • Represent technology and growth companies at all stages of development, from seed-stage start-ups to large private companies
  • Advise entrepreneurs on company formation, equity structures, and financing negotiations
  • Provide legal counsel to private companies on:
    • Strategic and commercial transactions
    • Fundraising activities
    • Corporate governance
    • Equity incentive plans and employment matters
  • Build and maintain relationships with institutional investors, including venture capital firms, corporate venture arms, pension plans, and family offices
  • Work on Preferred Stock financings for both early-stage and pre-IPO companies
  • Handle transactions across a wide range of industries, including artificial intelligence, cleantech, fintech, life sciences, and software

Requirements:

  • 4-6 years of experience in emerging companies and venture capital transactions
  • Strong experience working on both company-side and investor-side transactions
  • Ability to manage multiple complex deals and maintain client relationships
  • Demonstrated interest in growth industries and disruptive technologies

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Active Bar membership in the state of the selected office location (California)

Skills:

  • Strong drafting, negotiation, and communication skills
  • Ability to work with both start-ups and institutional investors
  • Proven ability to manage and lead transactions
  • Excellent organizational and analytical skills
