Job Title: Debt Covenant Review Attorney

Job Overview: A prestigious law firm based in Los Angeles, CA is seeking an experienced Debt Covenant Review Attorney to join its team. This role will focus on capital structure reviews for companies in need of liability management or restructuring, specifically within the Restructuring & Special Situations (R&SS) practice group. The ideal candidate will work closely with partners in the R&SS, Banking, and Capital Markets practices to analyze debt agreements and identify strategic opportunities for clients.

Duties:

  • Review, summarize, and analyze terms of credit agreements and indentures for companies requiring capital or restructuring.
  • Prepare detailed reports on the capital and group structure of companies, focusing on their ability to raise debt and manage liabilities.
  • Identify areas where value may be lost for lenders and other stakeholders.
  • Advise on potential liability management transactions and restructuring scenarios.
  • Assess defensive actions stakeholders might take and the implications on directors' duties.
  • Collaborate with partners in R&SS, Banking, and Capital Markets practices to design creative liability management solutions.
  • Present findings to a diverse group of investor and corporate clients globally.
  • Contribute ideas on market themes and actively support development efforts.
  • Safeguard sensitive and proprietary information in all client dealings.

Requirements:

  • Extensive knowledge of leveraged finance, capital markets, and restructuring transaction documentation.
  • Qualified practicing attorney with a minimum of 4 years of relevant experience in restructuring, leveraged finance, or capital markets.
  • Proficiency in incurrence-based covenants across loan and high-yield products.
  • Familiarity with convertible bonds and other hybrid capital products.
  • Strong understanding of cross-border transactions and loan/fund structures.
  • Ability to work effectively with senior partners and a range of clients.

Education:

  • Juris Doctor (JD) or equivalent law degree.

Skills:

  • Deep industry knowledge of finance, restructuring, and capital markets.
  • Strong analytical and problem-solving abilities.
  • Excellent communication skills, with the ability to present complex findings.
  • Ability to work well in a collaborative environment.
  • Attention to detail and confidentiality.
