Job Overview:
A prestigious law firm is seeking a highly qualified associate (Class of 2022–2020) to join its Private Equity Investment Funds practice. The ideal candidate will have significant experience working within private equity, real estate, and/or tech industries, particularly with fund formation transactions. Expertise in private placements under the 33 Act, unregistered funds under the Investment Company Act, and familiarity with the Investment Advisers Act will be essential. Location:

  • Washington, DC

Duties:

  • Manage substantial components of fund formation transactions for private investment funds.
  • Work in teams on private equity, real estate, and tech-related fund formation matters.
  • Provide legal support in private placements under the 33 Act.
  • Advise on unregistered funds under the Investment Company Act.
  • Gain exposure to the Investment Advisers Act.
  • Draft and review various legal documents, including partnership agreements and offering memoranda.
  • Provide strategic guidance to clients on investment fund matters.

Requirements:

  • Class of 2022–2020 with relevant experience in private equity fund formation.
  • Experience working on private investment funds in private equity, real estate, and/or tech sectors.
  • Strong understanding of the 33 Act, Investment Company Act, and Investment Advisers Act.
  • Ability to manage complex transactions and collaborate in a team-oriented environment.
  • Excellent written and verbal communication skills.
  • Admission to the bar in the relevant jurisdiction or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership (or eligibility to obtain bar admission in the relevant jurisdiction).

Skills:

  • Exceptional legal research and analytical skills.
  • Strong drafting and negotiation abilities.
  • Ability to manage competing priorities in a fast-paced environment.
  • Detail-oriented with the ability to see the big picture.
  • Excellent client relationship management skills.
