A law firm in New York City, NY, seeks a Lateral Leveraged Finance Associate Attorney with a strong track record in handling complex lending transactions. The ideal candidate will possess significant experience in running deals, managing teams, and drafting primary deal documents. They should be driven, motivated to learn, and ready to contribute immediately in a dynamic and expanding client-facing practice.

 

Duties and Responsibilities:

  • Lead and oversee complex leveraged finance transactions, including syndicated and bilateral credit facilities, acquisition financings, and other leveraged and investment grade lending transactions.
  • Draft and negotiate key deal documents such as credit agreements, security agreements, and intercreditor agreements.
  • Conduct thorough due diligence and review legal documents to ensure compliance with regulatory requirements and client objectives.
  • Provide strategic advice and counsel to clients on financing structures, risk management, and regulatory issues related to lending transactions.
  • Manage and coordinate teams of legal professionals and support staff involved in leveraged finance transactions, ensuring efficient execution and client satisfaction.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission by waiver.
  • 2+ years of relevant experience practicing law with a focus on leveraged finance transactions, gained at a reputable law firm or financial institution.
  • Proven ability to independently manage and close complex financing transactions within specified timelines.
  • Strong understanding of syndicated lending, acquisition finance, and other forms of leveraged and investment grade lending.
  • Exceptional drafting skills with meticulous attention to detail in preparing legal documents and transactional agreements.
  • Excellent analytical skills and ability to assess legal and business risks effectively.
  • Effective communication skills, both verbal and written, to interact confidently with clients, colleagues, and stakeholders.

 

Preferred Skills:

  • Experience representing banks, private credit lenders, private equity sponsors, or corporate borrowers in leveraged finance matters.
  • Familiarity with regulatory frameworks and compliance issues relevant to lending transactions.
  • Prior experience managing or mentoring junior attorneys and legal staff in a transactional practice setting.
