Job Overview: A leading law firm is seeking a mid-level Capital Markets Associate to join its dynamic practice. This is an exciting opportunity for an attorney with 2-6 years of experience in corporate transactions, focusing on Capital Markets. The ideal candidate will be involved in U.S. and cross-border transactions, including public offerings, debt offerings, SPACs, PIPEs, and more. This position requires a candidate with strong interpersonal skills, the ability to handle significant responsibility, and a proactive approach to managing a fast-paced workload.

Location:

  • Miami, FL

Duties:

  • Handle U.S. and cross-border capital markets transactions, including IPOs, high yield and investment-grade debt offerings, and more.
  • Lead and manage due diligence teams for various capital market transactions.
  • Advise on corporate governance and general corporate matters.
  • Draft and review key transaction documents such as offering memoranda, registration statements, and disclosure documents.
  • Represent public and private issuers, underwriters, and investors in all aspects of securities offerings.
  • Collaborate effectively with cross-disciplinary teams to meet client objectives.
  • Train and mentor junior associates within the practice area.

Requirements:

  • 2-6 years of experience in corporate transactions with an emphasis on Capital Markets.
  • Strong experience in capital market transactions, including leading due diligence teams.
  • Excellent interpersonal skills and maturity to manage complex tasks and client relationships.
  • Ability to work in a fast-paced, challenging environment with a high level of responsibility.
  • Must be admitted to the Florida Bar or eligible for admission to the Florida Bar.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Florida Bar or eligibility for admission to the Florida Bar.

Skills:

  • Strong academic credentials and writing skills.
  • Knowledge of the mechanics of leading capital market transactions.
  • General corporate and corporate governance experience.
  • Excellent teamwork and collaboration abilities.
  • Ability to manage and mentor junior associates.
