Senior Corporate Associate

Job Overview:
A nationally recognized law firm is seeking an experienced Senior Level Corporate Associate to join its dynamic team in midtown NYC. The firm offers an exciting opportunity to work in a well-established securities practice, handling a variety of corporate matters including registered securities offerings, mergers and acquisitions, and compliance with SEC regulations. This position allows for a hybrid work schedule, blending remote work with office presence.

Duties:

• Handle registered securities offerings, PIPEs, and SEC regulations
• Prepare ’33 Act Registration Statements and ’34 Act periodic filings
• Provide legal counsel in mergers & acquisitions, general corporate law, and SEC research
• Manage client relationships with a self-motivated, proactive approach
• Work closely with high-growth businesses and active investors on incorporations, equity financings, and securities
• Offer general corporate counseling and legal advice on a variety of business issues
• Draft and review legal documents with attention to detail
• Maintain excellent interpersonal communication with clients and internal teams

Requirements:

• 5+ years of legal experience in corporate law, with a focus on securities, mergers & acquisitions, and SEC compliance
• In-depth knowledge of regulatory requirements including PIPEs, the ’33 and ’34 Acts, and SEC filings
• Self-motivated with the ability to manage client relationships effectively
• Excellent attention to detail and interpersonal communication skills
• Experience working with high-growth, early-stage businesses and investors
• Ability to manage complex legal matters with precision and efficiency
• Strong problem-solving and analytical abilities

Education & Certifications:

• Juris Doctor (JD) degree from an accredited law school
• Active law license in New York

Skills:

• Expertise in securities law, including registered offerings, PIPEs, and SEC filings
• Strong understanding of mergers & acquisitions and corporate governance
• Excellent written and verbal communication skills
• Ability to handle high-pressure situations and deadlines
• Detail-oriented with exceptional organizational skills
• Experience in corporate counseling and working with investors
