Job Overview: A law firm in Houston, TX, is seeking a talented and driven Mergers and Acquisitions Associate Attorney to join their dynamic team. The ideal candidate will have 4-5 years of experience specializing in mergers and acquisitions, private equity, and general corporate law. The role requires a solid academic background, the ability to work collaboratively in a team-oriented environment, and preferably prior experience at an AmLaw 100 Firm or similar.

Duties:

  • Provide legal counsel and support on mergers, acquisitions, and private equity transactions.
  • Draft, review, and negotiate complex transaction documents, including purchase agreements, asset purchase agreements, and merger agreements.
  • Conduct due diligence and analyze business and legal risks associated with transactions.
  • Collaborate with clients, senior attorneys, and other stakeholders to develop and execute legal strategies.
  • Represent clients in negotiations and assist in resolving disputes that may arise during the transaction process.
  • Stay updated on legal developments and regulatory changes affecting mergers and acquisitions.
  • Prepare legal memoranda, opinions, and reports as needed.
  • Manage and oversee the work of junior associates and paralegals, providing guidance and support as required.

Requirements:

  • 4-5 years of experience in mergers and acquisitions, private equity, and general corporate law.
  • Proven experience with complex transaction structures and related legal issues.
  • Strong academic credentials from a top law school.
  • Excellent communication, negotiation, and analytical skills.
  • Ability to thrive in a team-oriented and fast-paced environment.
  • Prior work experience at an AmLaw 100 Firm or similar is preferred.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admitted to the Bar in Texas or eligible for admission.

Skills:

  • In-depth knowledge of mergers and acquisitions, private equity, and corporate law.
  • Strong drafting and negotiation skills.
  • Ability to analyze complex legal and business issues.
  • Exceptional interpersonal skills and a collaborative work style.
  • Proficiency in legal research and writing.
  • Detail-oriented with strong organizational and time-management skills.
