Job Overview: A law firm in Boston, MA is seeking an experienced Associate Attorney to join its team. The ideal candidate will have 3-7 years of experience working on complex U.S. and international tax law matters. This role involves advising clients on the tax aspects of various transactions, drafting and negotiating documentation, and mentoring junior associates. The successful candidate will possess strong communication skills, be self-driven, and be capable of working both independently and as part of a team.

Duties:

  • Advise clients on the tax aspects of domestic and international merger & acquisition transactions, private investment fund investments and formations, and transactional and investment planning for public and private companies and tax-exempt organizations.
  • Draft, analyze, and negotiate tax aspects of documentation for private investment funds, including limited partnership and limited liability company agreements, offering documents, and other fund documentation.
  • Draft, analyze, and negotiate tax aspects of documentation related to public or private mergers and acquisitions, financing, and other transactions.
  • Mentor and review the work of junior associates.

Requirements:

  • 3-7 years of law firm experience working on complex U.S. and international tax law matters.
  • Proven ability to communicate effectively.
  • Self-driven with the ability to work independently and as part of a team on various parts of transactions.

Education:

  • J.D. degree from an accredited law school.

Certifications:

  • Admission to practice in the state of Massachusetts, or eligibility to become admitted in that jurisdiction quickly.

Skills:

  • Expertise in U.S. and international tax law.
  • Strong drafting and negotiation skills.
  • Ability to mentor and review the work of junior associates.
  • Excellent communication and organizational skills.
  • Ability to manage multiple tasks and work under pressure.
