Mid-to-Senior-Level Capital Markets Associate Attorney

Job Overview: A law firm is seeking a dynamic Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience in U.S. capital markets. Duties:

• Draft and review transaction documents, including prospectuses, offering memoranda, and underwriting agreements.
• Conducted due diligence and assisted with regulatory compliance matters related to securities offerings.
• Collaborate with internal teams and external parties to ensure smooth execution of transactions.
• Research and analyze relevant legal issues and provide recommendations to clients.

Requirements:

• 4-6 years of experience in capital markets law.
• Admission to the New York State Bar or eligibility to waive in.
• Proven experience in representing underwriters, issuers, and placement agents in securities offerings.
• Familiarity with SEC regulations and '34 Act compliance.
• Excellent written and verbal communication skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the New York State Bar or eligibility to waive in.
