Job Overview:

Location:

  • Dallas, TX

Duties:

  • Work on the formation of various private funds, including private equity, private credit, real estate, infrastructure, hybrid, and evergreen funds.
  • Assist with drafting and negotiating fund documentation.
  • Advise clients on the U.S. regulatory regime governing private funds.
  • Participate in fund launches and support senior attorneys in managing complex fund formation matters.
  • Collaborate with clients ranging from institutional to emerging managers.
  • Provide strategic advice and support in seed deals and investor-side representation.

Requirements:

  • Experience in private fund formation, with a focus on private equity, private credit, or related areas.
  • Strong understanding of the U.S. regulatory regime governing private funds.
  • Experience negotiating fund terms and working with clients on complex fund structures.
  • Knowledge of seed deals and investor-side representation is a plus, especially representing sovereign wealth funds.
  • Ability to work in a dynamic and growth-oriented team environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in the Bar of the state.

Skills:

  • Strong academic background with excellent legal research and writing skills.
  • Expertise in private fund formation, especially in private equity, private credit, real estate, infrastructure, and related funds.
  • Negotiation skills, particularly with respect to fund terms and agreements.
  • In-depth understanding of the U.S. regulatory framework for private funds.
  • Ability to work effectively in a team and manage client relationships.
  • Experience with seed deals and investor-side representation is a plus.
