Job Overview:
A prestigious law firm based in Denver, CO is seeking an experienced In-House Business Contracts Attorney to lead contract negotiations and foster internal and external partnerships to achieve optimal, often time-sensitive, outcomes. The role focuses on technology, purchase, and sale transactions, requiring a high level of business acumen and legal expertise. The successful candidate will draft, review, and negotiate various business contracts, ensuring alignment with company policies while minimizing risks and addressing potential concerns related to data privacy and security.

Duties:

  • Lead and collaborate in the negotiation, drafting, and review of business contracts to support the firm's objectives.
  • Identify and assess legal, financial, and business risks in contracts and offer creative solutions to mitigate them.
  • Ensure that contracts contain provisions for dispute resolution and minimize potential conflicts.
  • Prioritize contractual reviews to meet deadlines and ensure resource allocation aligns with client needs.
  • Work closely with business teams to understand contract requirements for new deals and renewals.
  • Align contracts with the firm’s legal strategies, focusing on privacy, data security, and risk management practices.
  • Track and incorporate policy decisions into contracts, identifying potential risks in business transactions.
  • Demonstrate knowledge of compliance, including independent auditor and insurer policies.
  • Contribute to team projects aimed at improving the contracting process.

Requirements:

  • Juris Doctor (JD) degree required.
  • Minimum of 5 years of experience in contracts, negotiations, or related legal roles, preferably in a large law firm or corporation.
  • Experience in drafting contracts for technology, sales, purchases, software licenses, content licenses, outsourcing, and professional services.
  • Familiarity with data privacy and security issues is a plus.
  • Admission to Colorado Bar.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Advanced knowledge of contracting principles, industry practices, and processes.
  • Strong written and verbal communication skills, with the ability to clearly present ideas and negotiate effectively.
  • Excellent analytical skills and the ability to prioritize detailed data.
  • Demonstrated ability to work under tight deadlines and handle multiple priorities simultaneously.
  • Team player, capable of working collaboratively with diverse individuals across the organization.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be admitted to the Bar in Colorado and in good standing.
