The ideal candidate will have 3-7 years of securitization experience and a proven track record in managing complex transactions from inception to completion. This role involves hands-on work with critical documents and transactions, requiring a detail-oriented professional with substantial experience in large law firm environments.

Duties:

  • Led the preparation of bid letters and negotiation of confidentiality agreements related to securitization transactions.
  • Draft, review, and negotiate securitization disclosure and operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Serve as a critical member of deal teams, managing significant aspects of transactions from due diligence through closing.
  • Collaborate with clients, stakeholders, and internal teams to ensure smooth execution of transactions.
  • Provide expert legal advice on commercial mortgage-backed securities and related matters.
  • Conduct legal research and analysis to support transaction structuring and compliance.
  • Mentor junior attorneys and contribute to developing the firm’s practice in securitization.

Requirements:

  • 3-7 years of experience in commercial mortgage-backed securities and securitization.
  • Proven hands-on experience preparing bid letters, negotiating confidentiality agreements, and drafting securitization-related documents.
  • Experience as a critical member of deal teams, with a demonstrated ability to manage transactions from due diligence through closing.
  • Large law firm experience is strongly preferred.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in Pennsylvania.

Skills:

  • Strong knowledge of securitization processes, including documentation and negotiation.
  • Excellent analytical and problem-solving skills.
  • Proficient in managing complex transactions and providing strategic legal guidance.
