Job Overview:
A prestigious international law firm is seeking a highly qualified midlevel associate to join its Corporate & Business Transactions practice group. The ideal candidate will have between four to five years of experience in M&A/Private Equity transactions, including drafting and negotiating transaction agreements. This role offers an excellent opportunity to work on complex corporate transactions while collaborating with a dynamic legal team. 

Location:

  • Boston, MA

Duties:

  • Assist in M&A/Private Equity transactions, including drafting, reviewing, and negotiating transaction agreements.
  • Provide legal counsel to clients in complex corporate transactions.
  • Collaborate with senior attorneys and clients to structure deals and resolve legal issues.
  • Conduct legal research and analysis to support corporate transaction work.
  • Prepare and review legal documents, including contracts and agreements related to M&A and private equity transactions.
  • Support business development activities and client management.

Requirements:

  • 4-5 years of law firm experience, with a focus on M&A/Private Equity transactions.
  • Strong experience in drafting and negotiating transaction agreements.
  • Excellent academic credentials.
  • Strong organizational, drafting, and analytical skills.
  • Ability to manage complex transactions and work under pressure.
  • Effective communication skills and the ability to collaborate with diverse teams.
  • Must be an active member of the bar in the state of the office for which the position is being applied.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Bar Membership in the state where applying

Skills:

  • Strong drafting, negotiation, and communication skills.
  • Ability to analyze complex legal issues in M&A and private equity transactions.
  • Proficiency with legal research tools and software.
  • Attention to detail and strong organizational skills.
  • Ability to work effectively with clients, senior attorneys, and other stakeholders.
