Job Overview: A law firm seeks a skilled and highly motivated Junior Associate Attorney with 5 to 7 years of experience in corporate and transactional law as well as estate planning. This position, based in San Diego, will support both the Corporate & Transactional and Private Client Practice Groups, involving tasks such as entity formation and governance, M&A transactions, business contract drafting, and estate planning. The successful candidate will have a strong background in business and estate planning matters and will play a crucial role in supporting clients across a range of legal areas.

Duties:

  • Advise clients on entity formation, including entity type selection, jurisdiction, and formation formalities.
  • Draft and review foundational business documents, including Bylaws, Shareholder Agreements, Partnership Agreements, and Operating Agreements.
  • Manage and assist with corporate governance tasks, including entity renewals and the organization of periodic meetings for directors, managers, and shareholders.
  • Support corporate transactions by drafting and reviewing various corporate transaction documents.
  • Develop, draft, and implement estate plans ranging from basic to complex structures.
  • Collaborate with senior attorneys on matters related to business and estate planning issues.
  • Provide general legal advice on corporate and transactional matters.

Requirements:

  • 5 to 7 years of experience in corporate law, transactional law, and estate planning.
  • Strong research, writing, and organizational skills.
  • Ability to manage multiple tasks and deadlines in a fast-paced, office-based environment.
  • California Bar License (required).

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admitted to practice law in California (California Bar License required).

Skills:

  • Experience in entity formation and governance.
  • Proficiency in drafting corporate transaction documents.
  • Knowledge of estate planning and the ability to draft various estate planning documents.
  • Strong communication skills, with the ability to advise clients effectively.
  • Organizational skills with a keen attention to detail.
  • Experience with federal, state, and local taxation (preferred).
  • Familiarity with intellectual property matters, particularly trademarks and copyrights (a plus).
