A law firm is seeking a skilled and experienced Real Estate Associate Attorney to join its team in Los Angeles, CA. The successful candidate will have 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and/or commercial mortgage-backed securities (CMBS). This role requires a high level of legal expertise, excellent academic credentials, and strong communication and interpersonal skills to effectively serve clients and collaborate with team members.

Key Responsibilities:

  • Represent clients in real estate financing transactions, including drafting and negotiating loan agreements, mortgages, and other security documents.
  • Provide legal counsel to lenders in complex financing deals, including structuring co-lender and intercreditor agreements.
  • Manage and advise on transactions involving commercial mortgage-backed securities (CMBS), ensuring regulatory compliance and sound structuring.
  • Conduct due diligence for real estate transactions, including reviewing titles, resolving title issues, and analyzing property-related documentation.
  • Draft, review, and revise real estate transactional documents, including loan agreements, promissory notes, deeds of trust, and security agreements.
  • Advise clients on various real estate matters, including loan structuring, financing strategies, and enforcement of loan agreements.
  • Coordinate and lead negotiations between clients and counterparties to resolve complex issues and finalize real estate transactions.
  • Collaborate with internal legal teams and external parties to ensure successful transaction closings.
  • Keep up-to-date with the latest developments in real estate law, regulations, and market trends to provide accurate legal advice.
  • Assist clients with post-closing matters and ongoing compliance obligations related to real estate financing.

Requirements:

  • Experience: 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions.
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Licensed to practice law in California.
  • Academic Credentials: Excellent academic performance is required.

Certifications:

  • Active member in good standing with the California State Bar.

Skills:

  • Strong legal research, analytical, and problem-solving skills, especially in real estate financing and lender representation.
  • Exceptional drafting and negotiation skills, particularly for complex loan documents and real estate agreements.
  • Excellent verbal and written communication skills, with the ability to effectively articulate legal concepts to clients and colleagues.
  • Strong organizational and project management skills, with the ability to handle multiple transactions and deadlines simultaneously.
  • Ability to work both independently and collaboratively within a team-oriented environment.
  • High level of professionalism, attention to detail, and a strong work ethic.
  • Ability to manage client relationships effectively and provide strategic legal advice.

Preferred Qualifications:

  • Experience with California real estate laws and local real estate market trends is an asset.
  • Knowledge of environmental regulations and their impact on real estate transactions is advantageous.
