Mid-Level Corporate Associate

Job Overview:
A prominent law firm is seeking a Mid-Level Corporate Associate with 3-5 years of legal experience to join their nationally recognized securities practice based in Midtown NYC. Duties:

• Advise clients on registered securities offerings, PIPEs, SEC regulations, ’33 Act Registration Statements, and ’34 Act periodic filings.
• Provide guidance on mergers and acquisitions and general corporate law.
• Assist with regulatory requirements and compliance issues related to securities and corporate law.
• Work with high-growth, early-stage businesses and active investors on incorporations, equity financings, securities, and general corporate counseling.
• Manage and foster client relationships with a self-motivated and proactive approach.
• Conduct in-depth SEC research and ensure compliance with relevant regulations.
• Draft, review, and negotiate various legal documents related to corporate transactions.

Requirements:

• 3-5 years of corporate legal experience, with a focus on securities, mergers, acquisitions, and general corporate law.
• Strong knowledge of SEC regulations, securities offerings, and corporate compliance issues.
• Prior experience with high-growth businesses and active investors.
• Proven ability to manage client relationships and prioritize tasks.
• Exceptional attention to detail and a proactive approach to legal matters.
• Self-motivated with the ability to work independently in a fast-paced environment.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Licensed to practice law.

Skills:

• In-depth knowledge of securities law, including ’33 and ’34 Act filings.
• Strong legal research and analytical skills.
• Excellent written and verbal communication skills.
• Ability to manage multiple projects and prioritize client needs.
• Experience working with early-stage businesses and investors.
