A law firm based in Charleston, SC is seeking a Mid-Level Commercial and Technology Contracts Associate Attorney to join their team. This position requires a skilled attorney with 3-5 years of experience in drafting, reviewing, and negotiating business-to-business commercial contracts. The ideal candidate will have a strong background in various types of commercial agreements, including technology-related contracts, and possess excellent contract drafting and analytical skills.

Duties and Responsibilities:

  • Draft, review, and negotiate a wide variety of business-to-business commercial contracts, including Terms of Sale/Purchase, vendor and procurement contracts, consulting services, supply, manufacturing, distribution, and logistics agreements.
  • Manage and negotiate technology-related agreements such as SaaS, software licensing, software development, and IT services agreements.
  • Provide legal advice and support on contract terms, obligations, and risk management.
  • Ensure compliance with relevant data privacy laws and review/negotiation of data protection agreements.
  • Analyze and interpret contract provisions, including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Information Security.
  • Collaborate with internal stakeholders and clients to address and resolve contract-related issues.
  • Maintain up-to-date knowledge of industry trends, legal developments, and best practices in commercial and technology contracts.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • 3-5 years of relevant experience in commercial and technology contracts.
  • Proven experience with a broad range of commercial contracts, including technology-related agreements.
  • Familiarity with data privacy laws (CCPA, GDPR) and experience in reviewing and negotiating data protection agreements is preferred.
  • Excellent contract drafting, analytical, and critical thinking skills.
  • Strong attention to detail and effective time management skills.

Education:
