The ideal candidate will have 4-6 years of experience in corporate finance, including significant exposure to commercial finance transactions with financial institutions and borrowers. This role involves drafting loan, security, and intercreditor documents, advising on covenant compliance, and leading due diligence teams. The successful candidate will possess excellent writing skills, superior academic credentials, and the ability to manage multiple assignments with minimal supervision.

Duties and Responsibilities

  • Draft and negotiate loan, security, intercreditor, and related documents for corporate finance transactions.
  • Provide expert legal advice on covenant compliance, ensuring adherence to financial agreements.
  • Lead due diligence teams, managing the review and analysis of financial documentation.
  • Oversee and coordinate the efforts of specialists involved in transaction processes.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate the execution of transactions.
  • Maintain high standards of document accuracy and regulatory compliance.
  • Manage multiple projects efficiently, delivering high-quality work with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate financings.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Proven experience drafting loan, security, and intercreditor documents, and advising on covenant compliance.
  • Excellent academic credentials, including a JD from an accredited law school.
  • Superior writing skills and attention to detail.
  • Ability to manage multiple assignments simultaneously and deliver results with minimal supervision.
  • Strong analytical and problem-solving skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field is preferred.

Certifications

  • Admission to the Pennsylvania Bar (or eligibility to obtain admission).
  • Certification or specialization in finance or commercial transactions is preferred but not required.

  • In-depth knowledge of corporate finance, loan agreements, and financial documentation.
  • Advanced drafting, negotiation, and analytical abilities.
