Job Overview:

A prestigious law firm is seeking a highly skilled mid-level associate to join its Life Sciences Corporate practice. The successful candidate will be involved in a broad range of corporate transactions, including equity financing, IPOs, M&A, and corporate governance. This dynamic practice serves both private and public companies, including venture-backed firms, with a focus on life sciences-related corporate matters.

Location:

  • Boston, MA

Duties:

  • Advise and support clients in complex corporate transactions, including equity financing, mergers and acquisitions (M&A), initial public offerings (IPOs), and corporate governance.
  • Work with venture-backed and public life sciences, healthcare, and technology companies on their corporate transactions.
  • Manage substantial components of transactions independently while collaborating with team members on larger matters.
  • Assist in public company matters, including ongoing SEC representation.
  • Draft and negotiate transactional agreements, and provide legal guidance on corporate structuring and governance issues.
  • Contribute to strategic decision-making on deals and offer innovative solutions to clients’ corporate needs.
  • Engage directly with clients to understand their business goals and provide tailored legal counsel.
  • Participate in business development and relationship-building with clients and potential clients in the life sciences sector.

Requirements:

  • 3-5 years of experience in corporate law, with a focus on transactional matters.
  • Experience in public company work, including SEC representation and regulatory matters.
  • Experience with or strong interest in life sciences-related transactions, including those involving healthcare and technology sectors.
  • Proven experience managing complex transactions and working both independently and as part of a team.
  • Strong analytical skills and the ability to draft and negotiate complex agreements.
  • Excellent written and verbal communication skills.
  • A client-focused approach and ability to manage relationships effectively.
  • Ability to work under pressure, meet deadlines, and prioritize competing demands.

Education:

  • JD from an accredited law school with strong academic credentials.

Certifications:

  • Admission to the relevant bar (or eligibility to obtain admission promptly).

Skills:

  • Strong experience with lifecycle corporate transactions, including equity financings, IPOs, and M&A.
  • Familiarity with corporate governance matters, SEC filings, and public company issues.
  • Ability to work on a variety of transactional matters with minimal supervision.
  • Excellent negotiation, drafting, and communication skills.
  • Familiarity with the life sciences industry is preferred, but an interest in life sciences work is also valued.
  • Strong organizational skills and attention to detail.
