A law firm in Charleston, SC is seeking a Corporate Counsel to join their dynamic team. This role involves providing legal counsel for a wide range of corporate and commercial projects, with a focus on reviewing, drafting, and negotiating agreements for commercial transactions. The ideal candidate will have a strong business background, the ability to understand business concepts quickly, and a collaborative, client-focused mindset. The role requires excellent written and verbal communication skills, with extensive client contact to provide pragmatic legal advice.

Duties and Responsibilities:

  • Review, draft, and negotiate supply, purchase, service, transportation, and related agreements for commercial transactions.
  • Provide counsel on a wide variety of corporate and commercial projects, including mergers and acquisitions (M&A) if applicable.
  • Ensure legal compliance with corporate policies and industry regulations.
  • Advise clients on contractual obligations, business risks, and legal implications of commercial decisions.
  • Collaborate with internal teams and departments to support corporate initiatives.
  • Engage in extensive client contact to provide practical and business-oriented legal advice.
  • Participate in corporate governance matters as needed.
  • Assist with the legal aspects of business structuring, partnerships, and joint ventures.
  • Stay current on corporate law trends, regulatory updates, and best practices.

Requirements:

  • 7+ years of corporate transactional experience, including experience with commercial contracts and M&A (preferred).
  • Strong business acumen and the ability to grasp business concepts quickly.
  • Proven experience in reviewing, drafting, and negotiating complex commercial agreements.
  • Ability to work in a fast-paced, team-oriented environment while managing multiple projects.
  • Strong written and verbal communication skills, with the ability to communicate legal concepts to non-legal professionals.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the SC State Bar is preferred, or eligibility for admission.

Skills:

  • Expertise in corporate transactional law, including commercial agreements, supply chain contracts, and M&A.
  • Strong analytical and problem-solving abilities.
  • Excellent interpersonal skills, with a client-focused approach to legal practice.
  • Ability to balance legal risks with business objectives.
  • Willingness to learn, ask questions, and collaborate within a team environment.
