Job Overview: A law firm is seeking a Mid-Senior Level Finance Associate Attorney to join its team in New York City, NY. The ideal candidate will have extensive experience in finance transactions, particularly on the sponsor or lender side. They will have a strong background representing lenders or borrowers in complex corporate finance transactions, including acquisitions, buyouts, restructurings, and special situations.

Duties:

  • Representing lenders (investment and commercial banks, business development companies) and/or landowners (private equity sponsors) in sophisticated finance transactions.
  • Drafting and negotiating finance agreements, including credit, security, and inter-creditor agreements.
  • Conducting due diligence on finance transactions, including reviewing financial documents and identifying risks.
  • Advising clients on legal issues related to finance transactions and providing strategic guidance.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar (or willingness to become admitted).
  • Experience in finance transactions at a reputable law firm.
  • Experience representing lenders or borrowers in complex corporate finance transactions.
  • Strong understanding of finance and securities laws.
  • Excellent communication and negotiation skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Strong understanding of finance and securities laws.
  • Excellent drafting and negotiation skills.
  • Ability to manage multiple projects and work under tight deadlines.
