Key Responsibilities

  • Advise on legal and tax issues related to private foundations and charitable organizations.
  • Form and obtain tax exemptions for nonprofit corporations and charitable trusts.
  • Guide private foundations through grant agreements, tax compliance, and succession planning.
  • Advise philanthropists on charitable gifting strategies, including the use of donor-advised funds.
  • Consult large 501(c)(3) organizations on corporate governance and tax exemption issues, including unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures involving nonprofit and for-profit entities.
  • Represent tax-exempt organizations during federal and state audits on tax and charitable issues.
  • Advise on complex financial and legal structures that involve both nonprofit and for-profit entities.

Required Qualifications

  • Experience:
    • Significant experience advising private foundations and charitable organizations on complex legal and tax issues.
    • Proven experience in structuring mergers, affiliations, and joint ventures of nonprofit organizations.
    • Experience with representing tax-exempt organizations in federal and state audits.
  • Education:
    • Juris Doctor (JD) from an accredited law school.
  • Certifications:
    • Licensed attorney in good standing with the state bar (Arizona or eligibility for reciprocity).
  • Skills:
    • Deep understanding of tax-exempt organization law, particularly 501(c)(3) regulations.
    • Strong analytical and problem-solving skills, especially in complex tax and charitable issues.
    • Exceptional communication skills, with the ability to provide clear, actionable legal advice to nonprofit entities.
    • Experience with grant agreements, tax compliance, corporate governance, and succession planning.
    • Ability to manage multiple high-priority projects with attention to detail.
    • Strong negotiation and interpersonal skills to work effectively with both nonprofit clients and philanthropists.
