Mid-Level Private Equity Finance Associate Attorney

Job Overview:

A law firm in New York City, NY, is seeking a Mid-Level Private Equity Finance Associate Attorney to join their team. The ideal candidate will have substantial experience in private credit, acquisition finance, or leveraged finance, with a strong preference for those with borrower-side representation experience and familiarity with private equity sponsors. This position requires a proactive attorney with a deep understanding of financial transactions and the ability to navigate complex legal matters related to private equity.

Duties and Responsibilities:

• Provide legal counsel and representation to clients on private equity finance matters, including private credit, acquisition finance, and leveraged finance transactions.
• Draft, review, and negotiate transaction documents such as credit agreements, term sheets, and related legal instruments.
• Conduct due diligence and risk assessments related to financing transactions.
• Collaborate with clients, private equity sponsors, and other stakeholders to structure and execute complex financial deals.
• Manage and oversee all aspects of transaction processes, ensuring compliance with relevant laws and regulations.
• Develop and maintain strong relationships with clients, providing strategic legal advice tailored to their business needs.
• Stay updated on industry trends, regulatory changes, and market conditions affecting private equity finance.

Requirements:

• Minimum of 2 years of experience in private credit, acquisition finance, or leveraged finance.
• Demonstrated experience in borrower-side representation, with a preference for those who have worked with private equity sponsors.
• Experience in general company-side representation is encouraged.
• Proven track record of successfully managing and executing complex financial transactions.
• Strong analytical, problem-solving, and negotiation skills.
• Ability to handle multiple projects simultaneously and work effectively in a fast-paced environment.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the New York State Bar.

Certifications:

• Licensed attorney in the state of New York.
