A law firm in Palo Alto is seeking a Mid to Senior-Level Corporate (Capital Markets) Associate Attorney with 4-8 years of experience. The ideal candidate will have expertise in capital markets and securities transactions, including IPOs, debt offerings, equity offerings, and corporate governance matters.

 

Duties:

  • Handle a variety of capital markets and securities transactions, including IPOs, debt offerings, and equity offerings.
  • Provide legal advice on public disclosure requirements and corporate governance matters.
  • Draft and review offering documents, prospectuses, and other transactional documents.
  • Conduct due diligence and manage transactional closings.
  • Advise clients on compliance with securities laws and regulations.
  • Assist with drafting and negotiating contracts and agreements related to corporate transactions.
  • Collaborate with clients and colleagues to achieve strategic business objectives.
  • Stay updated on relevant legal developments and industry trends.

 

Requirements:

  • 4-8 years of experience in capital markets and securities transactions.
  • Strong understanding of IPOs, debt offerings, and equity offerings.
  • Experience advising on public disclosure and corporate governance matters.
  • Demonstrated ability to manage complex transactions from start to finish.

 

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the California State Bar or eligibility for admission via reciprocity.

 

Skills:

  • Excellent drafting and negotiation skills.
  • Strong understanding of securities laws and regulations.
  • Ability to analyze complex legal issues and provide practical advice.
  • Effective communication skills, both written and verbal.
  • Detail-oriented with strong organizational skills.
  • Ability to work independently and collaboratively within a team environment.
