Job Overview:
A premier law firm is seeking a Corporate Associate with 3-6 years of experience advising crypto and Web3 companies on a variety of transactional matters. The ideal candidate will have significant exposure to venture capital financings, token issuances, NFT transactions, and the creation of offshore structures for digital asset projects. Location:

  • Washington, D.C.

Duties:

  • Advise crypto and Web3 companies on venture capital financings, including crypto token rights and token warrants
  • Support clients with crypto token, digital asset, and NFT issuances
  • Assist with primary and secondary sales of crypto tokens and digital assets
  • Help establish offshore structures related to crypto token and digital asset issuances
  • Provide counsel on securities law and regulatory issues surrounding crypto tokens
  • Work with clients across a range of industries, including fintech, artificial intelligence, gaming, digital media, cleantech, and big data

Requirements:

  • 3-6 years of transactional experience advising on crypto and blockchain-related matters
  • Strong knowledge of venture capital financings, NFT issuances, and digital asset transactions
  • Familiarity with blockchain technology and the regulatory landscape surrounding crypto
  • Ability to manage complex transactions and work with diverse client bases in emerging technologies
  • Strong communication, drafting, and negotiation skills
  • Ability to work independently and as part of a team in a fast-paced, dynamic environment

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the State Bar in the preferred jurisdiction (California, New York, or Washington D.C.)

Skills:

  • Deep understanding of crypto, blockchain, and Web3 technologies
  • Expertise in crypto token, digital asset, and NFT transactions
  • Solid knowledge of securities law and related regulatory issues
  • Strong transactional experience, especially in the venture capital and financing space
  • Excellent drafting and negotiation abilities
  • Ability to manage client relationships and work under tight deadlines
