A law firm in San Diego, CA is seeking a Joint Ventures Associate Attorney with 3-6 years of experience in sophisticated real estate joint ventures. The successful candidate will be responsible for drafting and negotiating complex real estate limited liability company (LLC) and partnership agreements. The ideal candidate will have strong legal skills, a high level of academic achievement, and excellent interpersonal abilities. Familiarity with partnership tax or a tax LL.M. is a plus. The candidate must be admitted to the California State Bar.

Key Responsibilities:

  • Draft, review, and negotiate real estate joint venture agreements, including LLC and partnership agreements.
  • Advise clients on structuring joint ventures and real estate partnerships.
  • Interpret and analyze legal documents related to real estate transactions and joint ventures.
  • Collaborate with clients to structure investments and joint ventures for long-term growth.
  • Conduct legal research on laws and regulations related to real estate and joint ventures.
  • Support negotiations with third parties and investors to achieve favorable terms.
  • Maintain client relationships, offering ongoing legal advice and support.
  • Stay updated on real estate law, tax regulations, and industry trends affecting joint ventures.

Requirements:

  • 3-6 years of experience in handling complex real estate joint ventures and drafting related LLC and partnership agreements.
  • Prior major law firm experience is preferred.
  • Admission to the California State Bar in good standing is required.
  • Strong drafting, research, and negotiation skills.
  • Ability to handle complex legal matters related to real estate joint ventures.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively and manage multiple projects in a fast-paced environment.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar is mandatory.
  • A tax LL.M. or familiarity with partnership tax is preferred but not required.
